Membership Agreement

The purpose of BEE'M INTERNATIONAL policies and procedures is to determine the rules that will be applied worldwide within bee'm international. in this regard, some provisions are amended in these terms and concepts in order to comply with the law of the Republic of Turkey in October within the scope of annex a for conditions / concepts that differ from the legislation / commercial practices of the Republic of Turkey. however, these terms/concepts will be interpreted as similar terms/concepts in terms of legislation and commercial practices of the Republic of Turkey. In addition, if the relevant provisions are not allowed under the legislation of the Republic of Turkey, these provisions will be subject to the rules provided for under the legislation of the Republic of Turkey. CHAPTER 1 - Bee'M INTERNATIONAL AND ITS DISTRIBUTORS ⦁ Welcome to Bee'm International ⦁ Bee'm International is a direct sales company that markets its products through independent distributors. It is important to understand that the success of each distributor depends on the honesty of the people who market Bee'm International products and services. Bee'm International and its independent distributors are signing an Agreement (Decribed below) to Decipher clearly the relationship established between distributors and Customers and between distributors themselves. ⦁ The Parties, Bee'm International, are the company referred to in the distributor Application and Contract signed by the distributor. In these Policies and Procedures, the company is referred to as “Bee'm International” or “The Company” from time to time, while the distributor who signed the Contract is referred to as “a distributor” or “distributor”. ⦁ These Policies and Procedures, together with the Bee'm International distributor Application and Agreement (the “distributor Agreement”) and the Financial Gain Plan (collectively, the “Agreement”), which are already available or may be amended, constitute the complete and binding agreement and agreement reached between Bee'm International distributors and Bee'm International Dec. ⦁ Distributor's Code of Conduct ⦁ I will be honest and fair in the transactions I will perform as a distributor. ⦁ I will actively work to create and maintain a retail Customer base. ⦁ I will do my job in a way that reinforces my own reputation and the positive reputation that Beeam International has built. ⦁ My International I will be kind and respectful to every person I come into contact with during my independent activities, and I will conduct personal or telephone conversations with potential applicants and Clients in a reasonable manner and at reasonable hours that will not disturb anyone. When making a presentation for sales purposes, I will immediately terminate the presentation if the buyer requests it. ⦁ As a sponsor, I will fulfill my leadership responsibilities, which include training, supporting and communicating with distributors within my organization. ⦁ I will not Sponsor or attempt to Sponsor any Bee'm International distributor directly or indirectly in another network marketing program. ⦁ I will not engage in misleading or illegal activities and will not misrepresent Bee's International products or the Financial Gain Plan (hereinafter referred to as the “Gain Plan”). ⦁ I know that even the personal experience and benefits I have gained from Bee's International products can be interpreted as “extending the claims stated on the label” without permission. ⦁ I understand and accept that I will be solely responsible for all financial and/or legal obligations that I incur during my work as a distributor and that I will fulfill all my debts and duties as requested by a distributor. ⦁ Duration & Renewal ⦁ Duration. The duration of this Contract is one year. If the distributor does not renew the Contract annually, or if the Contract is canceled or terminated for any reason, the distributor will permanently lose any distributor rights. the distributor will not have the right to sell products and services, and will also not receive Commissions, bonuses, or other benefits arising from the activities of the former lower-tier sales organization. In the event of cancellation, termination or non-renewal of the contract, the distributor expressly waives all rights related to the Contract, including, but not limited to, proprietary rights, any bonuses, commissions or other fees received from the sales and other activities of the former lower-tier organization and the former lower-tier organization. Bee'm International reserves the right to terminate all Contracts with 30 days' notice if it decides to (1) cease business activities, (2) liquidate its commercial organization, or (3) cease distribution of its products and/or services through direct sales channels. the distributor may cancel this Agreement at any time for any reason by notifying Bee'm International's registered business address in writing. My BeeInternational may cancel the Contract for any reason by giving written notice to the distributor 30 days in advance. ⦁ Renewal.1 distributors must confirm that they are adhering to the terms of the Contract every year and are directed to their online office to do so. October paying an annual fee on or before the anniversary of the Contract, distributors can renew the 1-year term of the Agreement by paying an annual fee on or before the date of the Contract anniversary. If the renewal fee is required but not paid within thirty (30) days after the expiration of the current term of the contract, the agreement will be terminated. ⦁ Distributor Rights When Bee'm International accepts a distributor Agreement, the benefits of the distributor Agreement will be presented to the relevant person, unless the Agreement has been violated within the scope of distributorship. These benefits are; Bee'm International products 1 October A.it was amended at 1 p.m. It includes the right to sell in accordance with the contract, participate in the Earnings Plan and receive Commissions and benefits if deemed appropriate, Sponsor others, receive periodic Beemy International literature and other Beemy International communications, participate in support, service, education, motivation and appreciation events sponsored by Beemy International (by paying appropriate fees in relevant cases), and participate in promotional and incentive competition programs sponsored by Beemy International. ⦁ Independent Contractor A distributor is an independent contractor and is not an employee or representative of Bee'm International. For detailed information, see Appendix A. October 2016.1. ⦁ Business Conduct Rules Each distributor will conduct all business activities in a professional and ethical manner, thereby enhancing the reputation of the distributor and the positive reputation of Bee'm International. distributors will not engage in any conduct that negatively reflects or harms Beeam International or any other distributor. PART 2 - BECOMING A BEE'S INTERNATIONAL DISTRIBUTOR ⦁ Registration ⦁ Application Requirements. Applicants who wish to become a Beeam International distributor must: (i) be at least 18 years old if they are a natural person (or at the minimum age limit stipulated in the country of registration), or if they are a legal entity, they must be a duly registered and active organization in the country where they will operate; (ii) they must be authorized, except for these, to engage in direct sales activities in the country of residence; (iii) He must submit a distributor's Contract filled out in accordance with reality, to be accepted by the Company, and (iv) purchase a Starter Kit, unless prohibited by law. In order for the full benefits arising from the Earnings Plan to be presented, the distributor must obtain 30 PV (from sales to customers or personal purchases). ⦁ Application. the distributor who signs the distributor Agreement and submits it to Bee'm International applies to become an independent distributor of Bee'm International. Subject to the rights specified in Article 2.1.3 and if it is determined that the applicant is eligible for the distributor Application, the application is approved on the date of receipt. Following approval, My BeeInternational will establish a distributorship. ⦁ Electronic Registration. October 2, A.it was amended in 19. October 3, A.it was amended at 3. ⦁ Signature and Approval As part of your Bee'm International relationship, we want to ensure that you have all the information you need to effectively manage your distributorship through your electronic or virtual back office. We require your prior consent to provide the information electronically. You gave this permission when you registered electronically. In addition, you have consented to the use of electronic registration and signature in our relationship with you. Therefore, you should review and approve the following conditions before registering. ⦁ distributor Agreement and Electronic Registration. The entire agreement between you and us will be Decertified in an “Electronic Record” as described here. You have electronically confirmed that you accept the Terms and Conditions, the Policies and Procedures of My BeeInternational and the Financial Reward Plan. These three documents constitute the "distributor agreement" and were presented to you when registering. ⦁ Forms and Procedures. when you are doing your distributorship, product orders and services will be in electronic format. in October, in addition to the distributor Agreement, the forms you have signed and the communication we send to you may be in electronic form. They are all part of the Electronic Recording. We may also use electronic signatures and collect them from you as part of our transactions with you. ⦁ Delivery. Electronic Records can be delivered in various formats along various digital channels. Common digital channels include email, SMS text, FTP, SFTP, cloud-based file storage, and fax.Dec. Electronic Records can be accessed from your virtual back office. ⦁ Equipment and Software. To access Electronic Records, you will need the following hardware and software: a Personal Computer (“PC”) with a Modem, Wifi, or other Internet access devices; operational Internet browser software (for example, Microsoft Ede, Internet Explorer, Chrome), and Adobe Acrobat Reader. If there is a change in the hardware or software required to access the terms of the agreement, My BeeInternational will advise you in the same way and provide you with a list of the hardware and software required. Upon such an event, you may withdraw your consent. ⦁ Do not withdraw your consent. You may withdraw your consent to the use of electronic records at any time. However, if you do this, the distributor Agreement is automatically terminated. In order to withdraw your consent (and thus terminate the distributor agreement) or update any personal information, ⦁ http://www.beeminternational.com.tr or My Bee's International, Cevizlidere Mah. 1255 Cad. No: 7/1 Çankaya/Ankara, info@beeminternational.com.tr You can do it online from their address. ⦁ The Right to Refuse. Bee'm International reserves the right to reject any distributor Application for any reason within three (3) months of receiving it. Bee'm International will not accept distributor Applications that are intentionally provided with information contrary to the truth and will invalidate these applications. ⦁ Notification of Changes. the distributor is responsible for transmitting to the Company any changes that affect the accuracy of the distributor Application, as well as subsequent information about the distributorship account information. ⦁ Starter Kit. As part of the registration, each distributor is given a virtual Starter Kit. In cases deemed necessary by law, a hard copy shall be submitted. ⦁ Possible distributors. If a distributor pays or reimburses the costs incurred by any prospective distributor's participation in a Bee'm International event, or if the distributor participates in a Bee'm International event together with a prospective distributor, Bee'm International will register the relevant distributor as a Sponsor if the prospective distributor applies within 60 days from the date of the event. After that, the prospective distributor can register to the lower tier of the Sponsor of his/her choice. ⦁ Passwords After signing up, it is the responsibility of the new distributor to protect their personal information and accounts by not sharing their passwords and/or credentials. ⦁ Interest ⦁ Interest. A distributor may have an Interest in only one distributorship, except for the cases expressly permitted here. “Interest" refers to the right to direct, control, own, participate in another person included in the account, or to be a beneficiary in terms of directing, controlling, owning or participating in another person in question. ⦁ The Same Household. ⦁ Family members living in the same household may have separate distributorships, except as described in 2.2.2.2. However, they should not exercise any control over these distributorships. ⦁ Officially married or unmarried spouses or couples in a similar situation may have a single distributor in the same household. The actions of each person from the couple in question or other persons who have an Interest in the distributorship are attributed to the distributor. ⦁ Legal Entity and Its Representatives. If a distributor is a legal entity, all persons entitled to control such entity, including but not limited to shareholders, directors, board members, members or directors (“representatives”), may have an Interest in such distributorship and may not have an Interest in another distributorship, as the case may be. The actions of the representatives of the legal entity are attributed to the distributor. ⦁ Married Couples ⦁ Male or female spouses or couples without official marriage who want to become distributors (together, “spouses”) must submit a single distributor Application and Contract. These persons cannot have any interest in another distributorship (cf.2.2). The action of one spouse will be attributed to both spouses, and therefore distributorship. ⦁In case of marriage of two (2) distributors, they must notify the Compliance Department within 3 days after the Compliance date and choose which distributorship they will choose. Upon notification, Compliance will terminate the non-selected distributorship. ⦁ Organizations, Partnerships and Trusts ⦁ Companies as Distributors. Companies established as organizations, limited liability companies, partnerships and/or trusts may apply for distributorship unless it is prohibited by law. These applicants must complete the distributor Agreement and submit it together with copies of the Articles of Association, Incorporation Deed, partnership agreement or trust document or any other establishment document or organization document provided for in the country in which they operate. ⦁ Disclosure of Representatives. to ensure compliance with the distributor Agreement, distributors must submit a complete list of all representatives, including members of the company's board of directors, directors and shareholders. Limited liability companies must provide a complete list of all members, directors and directors. Partnerships should disclose all general and limited partners. Trusts, on the other hand, should disclose the trustee(s) and the beneficiary(s). This information can be sent to My Bee International by fax or e-mail and must be updated by the distributor. the distributor must also provide Bee'm International with the requested proof of business or tax number, as well as a supporting document indicating that the organization continues its activities (see for country-specific information. October A). If any shareholder, partner, member or director of a distributor is a legal entity on its own, the information requested above for the relevant organization will also be required for that shareholder, partner, member or director. ⦁ Responsibility. Shareholders, members, partners, employees, agents, beneficiaries, trustees and persons supporting the legal entity, as the case may be, agree to be personally responsible to Bee'm International and to be subject to the Contract. ⦁ Nickname. The completed ”Business Under a Commercial Title" or DBA (Doing Business As – Operating Under a Different Name) form must be submitted to Bee'm International. In any distributor position involving the work of more than one person as an organization, partnership, limited liability company or trust, the actions of a participant will be reflected in the entire distributorship. If it is determined that a participant has violated the terms and conditions of the Agreement, it will be considered that the relevant distributorship has committed a violation as a whole. ⦁ Correct Name and Identification Number, any person or organization may not apply for distributorship using a fake or alias, or use the identity of another person or organization that will not be associated with distributorship. No one may use a tax or other official identification number that has not been issued to the main person or organization in the distributorship. In addition, during registration, the distributor must provide an official identification document showing residence in the country of registration. ⦁ Tax Identification Number, in case of registration or upon the request of Bee'm International,if permitted by law, a distributor will submit the identification number and/or tax number allocated by the state and a copy. After registration, My BeeInternational will provide the distributor with a unique distributor identification number to be used for the identification of the distributorship. ⦁ Sponsor/Placement Corrections and Changes ⦁ Corrections. A placement change or Sponsor correction can be requested within three (3) days from the registration date. ⦁ This policy is used only to correct errors made during registration and is not used if the distributor requests another Sponsor for different reasons. Correction requests can be forwarded to the administrative office Help Desk, and an explanation of the request must also be provided. 2.7.1.26 No fee will be charged for the first correction requested within the first three (3) days. 2.7.27 Changes. Bee'm International does not take kindly to Sponsor and Placement changes. However, after the first three (3) day period, requests for a Placement or Sponsorship change may be accepted at the discretion of Bee'm International, with additional conditions and restrictions that may be requested by Bee'm International, and distributors waive any claim rights against the Company for cases arising from or related to the decision on this request. ⦁ Sponsor changes will not be made outside of the Sponsor's header information or registration tree organization. Such changes require the written permission of the first 2 top-level Sponsors Active or Active within the first 6 months of the Request. All requests will be submitted and approved by the Compliance Department. ⦁ If a Placement or Sponsorship change is approved, the distributor will pay a change fee (see The Fee Schedule included in October (see Appendix A). ⦁ Adding or Removing Joint Applicants After Registration ⦁ Procedures. Requests for the addition of a joint applicant to a distributor should be forwarded to the local Customer Service Department. If the joint applicant has an Interest in another distributorship or is subject to the waiting condition specified in article 2.10, the request will not be fulfilled. When approval is granted, the distributor must submit a distributor Agreement that has been completed in full and duly amended with the signatures of both the distributor and the joint applicant. ⦁ Earnings. All winnings will be sent to the address registered for the distributor position. ⦁ Restrictions. When a joint applicant is added, the principal applicant must continue to be a party to the original distributor Agreement; however, if the principal distributor wishes to terminate the distributor relationship with Bee'm International, it must perform the termination in accordance with Bee'm International policy and the Joint Applicant must submit a Business Transfer Form. If this requirement is not complied with, this Agreement will be terminated with the withdrawal of the original distributor. ⦁ Change of Sponsor. The change permitted under this section does not include a change of Sponsor. The transaction fee for the amendment or addition is October A.it is explained in 16. ⦁ Resignation of the Joint Applicant. Joint applicants may submit their resignations in terms of their interests in distributorship by notifying Customer Services. In this respect, they will be subject to the waiting condition specified in article 2.10. ⦁ Making More Than One Application If an applicant submits more than one distributor Agreement form with different Sponsors, only the first form to be delivered to Beeam International will be accepted. Bee'm International reserves the right, within its sole discretion, to make the final decision in such disputes. ⦁ Waiting requirement for re-application ⦁ Policy. All former distributors (including the joint applicant) and/or anyone who has any interest in a distributor and applies for a new distributor must submit a notice of resignation or cancellation for the main distributor before and wait for one of the following periods: ⦁ If the highest rating Elite or lower obtained earlier (directly or through an interest), twelve (12) months or ⦁ If the highest rating Emerald or higher obtained earlier (directly or through an interest), eighteen (18) month. ⦁ Resetting the waiting Time. Any activity of the distributor subject to the waiting period during the waiting period stipulated in Article 2.10.1, which may mean that he has established a new business, will cause the waiting period to be reset. Indicators related to such activities include, without limitation, participation in meetings and support of the opportunity or products in any way. ⦁ Reports, Confidential Information and Trade Secrets ⦁ Reports. Bee'm International wishes to protect itself and its distributors from unfair and inappropriate competition. Bee'm International allows distributors to access and view their organizations through the Virtual office. The reports created through the virtual office, as well as all distributor lists (collectively referred to as “Reports”), including all distributors, organization lists, names, addresses, e-mail addresses and phone numbers, which are organized in all kinds of formats, including, but not limited to, hard copies, electronic or digital media and are included in the Bee's International database without any restrictions, are confidential and are the private property of Bee's International. Bee'm International has prepared, compiled and structured the Reports by spending considerable time, effort and monetary resources, and still maintains them. The reports presented in current and future formats and amended from time to time constitute the commercially advantageous private assets and trade secrets of Bee'm International, which each distributor must keep confidential. Without this confidentiality and non-disclosure agreement - My BeeInternational will not provide Reports to any distributor. A distributor's right to disclose Reports and the information contained therein, as well as other distributor information maintained by Bee'm International, is reserved exclusively by Bee'm International and may be waived at Bee'm International's discretion. ⦁ Purpose. The reports are presented to distributors solely for the purpose of assisting distributors in their work with lower-level organizations for the development of the Bee'm International business. distributors can use the Reports presented to them to help their lower-level organizations, provide motivation and provide training. ⦁ Non-Disclosure. A distributor's access to their Reports must be password protected. Reports are provided to each distributor on a full confidentiality basis. These Reports will not be disclosed by a distributor to any third party without the prior written permission of Bee'm International or used for any purpose other than the performance of obligations under the Contract or in the best interests of Bee'm International. Any unauthorized use or disclosure of the report constitutes misuse, abuse and violation of the distributor Agreement and may cause irreparable harm to Bee'm International. ⦁ Restrictions. No distributor, on its own behalf or on behalf of another person: ⦁ Will not directly or indirectly disclose the information contained in any Report to any third party; ⦁ Will not directly or indirectly disclose the password or other access codes related to its Report; ⦁ Will not use the Information for any purpose other than to compete with Bee'm International or to support the distributor's Bee'm International business; ⦁ Will not register or entice any distributor mentioned in any Report or attempt to influence or encourage a distributor in any way to change its business relationship with Bee'm International. ⦁ Return of Reports in Case of Termination. At the request of Bee'm International and necessarily in the event of termination of the Contract, the distributor will return to Bee'm International the original copy and all copies of any Reports that are in its possession or subject to its control, as well as all confidential information or trade secrets received from them (in paper or electronic format). ⦁ Violation. If the distributor violates any of the obligations contained in this subsection about the Reports, The Company may terminate the distributorship and apply for an injunction to prevent irreparable damages that may arise from the point of view of Bee'm International or any of its distributors. Bee'm International may seek ways to apply any appropriate solutions arising from the relevant law to protect its rights related to the Reports; failure to apply such solutions will not constitute a waiver of these rights. ⦁ Confidential Information. distributors may obtain the right to access Bee'm International's confidential information. In this regard, without limiting the above-mentioned considerations, confidential information includes information, customer lists, manufacturer information, commission or sales reports, product formulas and other financial and commercial information of Bee'm International, in particular information contained in any family tree or lower-level report submitted to a distributor or accessible by the distributor. All this information (in electronic, oral or written form) is private and belongs to Beeam International and is transmitted or presented to the distributor on a highly confidential basis. Each distributor agrees that it will not disclose such confidential or proprietary information, directly or indirectly, to any third party or use the information to compete with Bee's International or for any other purpose other than those expressly permitted in the Agreement. This information will be used only for the support of the Bee'm International program in accordance with the Contract. the distributor and Bee'm International agree that without this confidentiality and non-disclosure agreement, Bee'm International will not provide the relevant information or make it available to the distributor. This provision will also apply after the termination or termination of the distributor Agreement. ⦁ Sponsorship and Sales in Other Sundays ⦁ Right to Become a Sponsor. Bee'm International distributors may Sponsor individuals in their organizations subject to the Agreement. ⦁ Compliance and Restrictions. Compliance with this article protects the Company, its distributors and their ability to operate in selected countries. In case of violation of these policies, regulatory action may be taken by the official authorities, including heavy fines, confiscation of assets, closure of commercial operations or even imprisonment. In this regard, a distributor: ⦁ will not engage in activities for the non-targeted (blind) promotion of prospective distributors. Many countries have strict privacy laws that prohibit non-targeted or cold incentives. Also, many local laws prohibit advertising to potential customers; ⦁ will not import any product to a Sunday where it has not been officially approved. products are labeled and sometimes formulated for specific countries; ⦁ Bee'm International will not distribute Starter Kits that are not approved for the relevant country. Promotional statements found in the literature of one country may not be appropriate or legal for another country; ⦁ My International will not sell products that are not labeled for the relevant country; ⦁ it will not ship any products that are not allowed to another country. Products to be sold in a country must be purchased directly from an authorized Beeam International office or warehouse and labeled for the relevant country; ⦁ will not attempt to get news in the media in any way without prior written permission from the company or will not appear in news reports; ⦁ will not misrepresent products or Beeam International opportunity in the country; ⦁ will not make claims or commitments related to earning potential; ⦁ will not make illegal health claims about products; ⦁ will not neglect to comply with the Policies and Procedures of the country in which a distributor is registered, or ⦁ will not encourage potential distributors located in the country to join their own organization by committing to cash earnings or volume. ⦁ You may sell or distribute unregistered products on the NFR Sunday according to section 7.4.10.3. ⦁ Retention of Records Bee'm International encourages all its distributors to keep complete and accurate records of their business transactions. Bee'm International may exercise its right to request documents and records in connection with sales or other matters described in this document, or as may be provided for under applicable law. ⦁ REGISTRATION A distributor transmits other distributor Applications and Contracts and product orders received from other distributors or new applicants to Bee'm International within 72 hours of receiving the document. It is prohibited to strictly issue applications or orders made for the purpose of manipulating compensation or promotions. SECTION 3 - COMPLIANCE WITH THE LAW ⦁ Compliance with the Law All Bee'm International distributors will comply with all relevant laws and regulations related to the conduct of their business. ⦁ Absence of Exclusive Zones There is no exclusive zone and no distributor may imply or declare that it has exclusive zone rights. There are no geographical restrictions on sponsoring distributors except in foreign countries that have not been officially opened by Bee'm International. ⦁ Statement on Government Approvals Regulatory authorities do not approve or approve direct sales programs or their products or services. Therefore, distributors may not directly or indirectly declare that the Bee'm International Earnings Program or its products or services have been approved, reviewed or certified by any government agency, unless expressly declared by Bee'm International. ⦁ Product Claims Distributors are responsible for both online and offline advertisements and/or statements promoting Bee'm International or a product. the distributor must comply with all requests for the removal of these statements and/or shipments, regardless of their source. ⦁ Not to Make Unauthorized Claims. A Bee's International distributor, directly or indirectly, about a Bee's International product: ⦁ which is against the law; ⦁ which claims to be government-approved; ⦁ Will not make claims that do not correspond to the official Bee'm International Literature or that suggest that the diagnosis, evaluation, prediction, definition, treatment, therapy, care or management or solution of any disease, ailment or problem can be improved as a result of consuming, using or applying the product. ⦁ Official Bee'm International Literature. A distributor promoting Bee'm International products will only be able to use the claims contained in the Official Bee'm International Literature for the designated country/Sunday. Bee'm International may change its Official Literature from time to time, and the distributor will only use the current Official Bee'm International Literature during the promotion of products ⦁ Personal Information distributor identification number, distributor's address, phone number, etc. personal information will be treated as confidential and will not be used except in connection with the business of My Bee International, unless deemed necessary by law. In case of an emergency, the party who wants to ask a question can contact the Bee'm International compliance Department, which will inform the distributor that someone is trying to reach him. ⦁ Permission to Use the Name and Likeness By signing this Agreement, each distributor shall provide Bee'm International and its affiliated companies and agents with his name, photo, likeness, voice, descriptions, biography in marketing, promotional, advertising and educational materials submitted in print, radio, Internet or television broadcasts (including cable and satellite broadcasts), audio and video recordings available on the Internet or other media (“Promotional Materials”)., it grants an absolute, permanent and worldwide valid right and authorization to use, record, photograph, publish, reproduce, use for advertising purposes, display, edit and sell its image and other information related to the distributor's business with Bee'm International (collectively referred to as “Similarity”) in any way for any purpose, without paying a fee and without limitation in terms of number. Each distributor waives the right to review or approve Promotional Materials containing His Likeness or presented with His Likeness. In addition, each distributor absolves Bee'm International from any liability and liability that may arise from the use of His Likeness, including, without any limitation, violation of the privacy of private life and violation of promotional rights, as well as defamation (including libel and defamation) claims. A distributor may provide written notice to Bee'm International, see 8. Appendix A. October 2016.6 He may withdraw the authorization for the use of his Likeness, which has not yet been published. distributors accept that all kinds of information they provide, including their descriptions, are accurate and in accordance with the truth. ⦁ Unfair Competition ⦁ Restrictions for the distributor. ⦁ Don't Tempt My Bee's International distributors and Customers. A distributor is free to participate in other direct sales, multi-level marketing or network marketing initiatives, including member programs, or marketing opportunities (collectively, “Network Marketing”). However, the distributor will not directly or indirectly encourage or attempt to employ other Bee'm International distributors or Bee'm International employees, including personally sponsored distributors, for any other Network Marketing business or any other opportunities that may affect the business relationship with Bee'm International. This also includes general incentives made on social media accounts where distributors are among the distributor's “friends”. Dec. It also includes disclosure of the distributor's relationship with another Network Marketing Business, or the re-sharing or promotion of a share in which someone else promotes another Network Marketing Business. ⦁ Not to Promote Bee'm International products and Opportunities Together with Competitors' products and Opportunities. If the distributor participates in another Network Marketing business, the distributor agrees that he will definitely conduct his Bee'm International distributorship separately and differently. Accordingly, in case of involvement in another Network Marketing business, the distributor: (i) will not display non-Bee's International products and Sales Materials in the same location as Bee's International products and Sales Materials; (ii) will not offer programs, opportunities, products or services that do not belong to Bee's International to potential or existing Customers or distributors in connection with Bee's International opportunities or products; (iii) He will not offer or explicitly or implicitly refer to opportunities, products or services that do not belong to Beeinternational at meetings, seminars or congresses in connection with Beeam International or within two hours and 8 kilometers of a Beeam International event. If My Bee International meeting is held over the phone or internet, meetings unrelated to My Bee International should be held at least two hours before and after the My Bee International meeting, via a different conference phone number or internet address. ⦁ Sales of Competing Goods or Services to Bee'm International Customers and distributors. despite what is stated in sub-clause 3.7.1.2, during the term of this Agreement, the distributor will not sell or attempt to sell programs, products or services that compete with the Company's products to Bee'm International Customers or distributors. All kinds of programs, products, services or Network Marketing opportunities that are included in the same generic categories as Bee'm International products; it will be evaluated as a competitor without taking into account cost, quality or other distinguishing factors. 3.7.2 Restrictions After Termination. For twelve (12) months after the termination of the contract or for a longer legally enforceable period, a distributor may not employ another distributor or Customer for a different Network Marketing job. the distributor and Bee'm International acknowledge that since network marketing is carried out with independent contractor networks in many countries and the work is usually done over the internet and telephone, an attempt to narrow the geographical scope of the non-seduction provisions will completely invalidate the provision. In this regard, each of the parties agrees that this non-seduction provision applies to all Sundays in which Beeam International supplies or does business with products in direct sales, e-commerce or other ways. This provision will also apply after the termination of the Contract. ⦁ Seller Confidentiality Bee'm International's business relationships with its sellers, manufacturers and suppliers are confidential. A distributor will not contact, talk to or communicate directly or indirectly with any representative or any supplier, manufacturer or seller, except at an event sponsored by Bee'm International, where the representative is present at the request of Bee'm International. ⦁ Line Switching, Cross-Sponsorship and Seduction ⦁ Prohibited Activity. Maintaining the integrity of the Sponsorship line in a distributorship organization is essential from a network marketing point of view. In this regard, each distributor agrees to refrain from Line Switching, Cross-Sponsorship and Seduction activities. ⦁ "Line Switching" means applying to become a distributor or becoming a distributor while (a) already being a distributor, (b) having an Interest in another distributor, and/or (c) the waiting period specified in article 2.10 is continuing. ⦁ ”Cross-Sponsorship“ or ”Cross-Line Recruitment" involves (a) an existing distributor Sponsoring a different Sponsorship line, (b) a distributor subject to the waiting period specified in clause 2.10, or (c) a former distributor Sponsoring or purchasing products subject to the waiting period specified in clause 2.10. Dec.a. Cross-Sponsorship or "Cross-Line Recruitment" involves Sponsoring a different Sponsorship line. ⦁ "Seduction" means to seduce, encourage, benefit from or otherwise assist another distributor for Line Switching and/or Cross-Sponsorship. Seduction is carried out, among other methods, by presenting, displaying or disclosing to a Bee'm International distributor the products or opportunities of another direct sales company directly or through social media platforms that the distributor is known to visit frequently, or through targeted communications to other Bee'm International distributors. 3.9.2. Fake Information. A distributor will not use the name of his spouse, relative or a third party, trade names, fake or fake names, legal entities, fake identification numbers other than those determined by the state, or fake identification numbers to avoid fulfilling the requirements of this policy. ⦁ Notification Obligation. Since Line Switching, Cross-Sponsorship and Promotion may cause harm to Beemy International and the relevant distributors, each distributor who learns that another distributor is violating these obligations or has reasonable grounds to suspect such a situation is obliged to notify the Company as soon as reasonably possible. ⦁ Solutions for Violation. If these commitments are violated by a distributor, the Company may take any or all of the actions referred to in articles 8.2 and 8.3. In addition, the Company may terminate distributorships that violate (i); (ii) May terminate the distributorships created as a result of Line Switching (“Second distributorship”); (iii) may impose a fine within the scope of legal Remedies provided against any of the relevant distributorships 9 and (vi) may decide to retain the distributorships registered as a Second distributorship and may not change the Sponsorship or Placement, unless otherwise required by compelling circumstances and the principle of equity. However, the Company does not bear any obligation in this direction and all kinds of moves and final savings related to the organization are subject exclusively to the discretion of the Company. subject to the solutions, distributors waive all claims that they may direct to the Company that may arise from or be related to savings related to these distributorships. ⦁ Unethical Activities. Each distributor agrees to act in accordance with the ethical rules and the principle of professionalism at all times while engaged in Bee'm International business activities. In this regard, the distributor agrees not to engage in unethical activities and also not to encourage or tolerate such behavior to participate in unethical activities of Lower-Level people. Examples of unethical behavior include, without limitation, the matters described in this Agreement: ⦁ making unsubstantiated claims about the product; ⦁ Making unapproved income claims ⦁ Making false statements or statements in any way, including, but not limited to, untrue or misleading statements or sales offers about the quality, availability, grade, price, payment terms, refund rights, warranty or performance of products; ⦁ Making comments that disparage other distributors or Companies ⦁ Causing product sales in Retail Facilities; ⦁ Using another distributor's or a third party's credit card without explicit written permission payed off; ⦁ Making false statements or statements about the quality, availability, grade, price, payment terms, return rights, warranty or performance; ⦁ Making comments that disparage other distributors or Companies; ⦁ Making comments that disparage other distributors or companies; ⦁ Making comments that disparage other distributors or companies; ⦁ Making comments that disparage other distributors or companies; ⦁ Making comments that disparage other distributors or companies; ⦁ Making comments that disparage other distributors or companies; ⦁ Making comments that disparage other distributors or companies; ⦁ Making comments that disparage other distributors or companies; ⦁; ⦁ Misuse of the company's confidential information ⦁ line replacement, Cross-Sponsoring or seduction; ⦁ failure to comply with the requirements of the sales and promotional activities; ⦁ Unauthorized pre-marketing activities; ⦁ operating in a market that is not eligible for resale on how to make violate the rules; ⦁ the company and/or distributor to behave in a way that will hurt the reputation of the personal; ⦁ violate the laws concerning the operation of a distributorship; 9 See. October 2016.7 ⦁ Violating the Code of Conduct; ⦁ Violating the contract. ⦁ Compliance with the Bee'm International Business Model A distributor will not offer the Bee'm International opportunity through or in conjunction with an earnings plan or Placement program, except as specifically indicated in the Official Bee'm International Literature. In addition, a distributor will not encourage other existing or prospective distributors to participate in Bee'm International in a way other than the program specified in the Official Bee'm International Literature, or make a request in this direction. regardless of the degree of the distributor, a distributor will not request or encourage other existing or prospective distributors to sign a different contract, contract or membership plan from those determined by Bee'm International in order to become a Bee'm International distributor. Similarly, a distributor will not request or encourage other existing or prospective distributors to purchase or pay for products from any person or entity other than purchases or payments recommended or required in the Official Bee'm International Literature to participate in the Bee'm International Earnings Plan to the extent permitted by the relevant law(s). A distributor will not encourage other existing or prospective distributors to purchase or pay for products. ⦁ Need for Training distributors are encouraged to adequately train the distributors they sponsor. "Adequate training" shall include, without limitation, training on Policies and Procedures, Earnings Plan, product information, applicable business practices, sales strategies and ethical business conduct. A Sponsor must have a permanent professional leadership relationship with distributors in its organizational network and fulfill its obligation to perform a bona fide oversight, sales and distribution function related to the sale of products and services to the end consumer. ⦁ Privacy distributors must comply with all applicable privacy and data security laws, including laws related to the notification of security violations. distributors should take appropriate steps to protect and secure any private information, including, but not limited to, credit card and social security numbers issued by a retail Customer, prospective retail Customer, or other distributors. distributors must keep such information strictly confidential. distributors are responsible for the secure management and storage of all documents that may contain confidential information. distributors should take, implement and maintain appropriate administrative, technical and physical measures to protect the security of confidential information and Customer data in the face of anticipated threats or hazards. Appropriate measures include, without limitation, the following: (i) encrypting data prior to electronic transmission; (ii) storing records in a secure location; (iii) storing computer files with password protection, or (iv) destroying paper documents containing confidential information or Customer data in a clipping machine. distributors should keep documents containing such information only for the period deemed necessary for the completion of the transaction. distributors, to crop (a) any printed or electronic records containing Customer data or other confidential information after using; (b) permanently delete or eliminate or (c) eliminate Customer data and other confidential information contained in these records by taking all reasonable steps to destroy the information by modifying it so that it cannot be read, recombined or decoded in any way. ⦁ Sales Force of Other Companies The distributor agrees to refrain from systematically targeting members of another direct sales company to become distributors. If a claim, compensation claim, formal action, lawsuit, arbitration or mediation process is initiated against a distributor for allegedly engaging in such prohibited activities, the distributor will indemnify Bee'm International against any compensation claims, lawsuits, legal actions and claims arising from or related to the relevant systematic targeting. distributors may not encourage members of the sales force of another direct sales company to violate the terms of their contract with the relevant company. distributors will personally assume all risks and responsibilities for such activities that are not approved or supported by Bee'm International. ⦁ Notification of Policy Violations Distributors who notice a policy violation by another distributor should notify the Bee'm International Compliance Department in writing by fax, mail or e-mail of the violation. Such documents must contain the distributor's signature and user ID. Anonymous complaints will not be considered under any circumstances. Since the documents prepared in writing by the complaining party(s) and then the person(s) named in the alleged violation of the policy must be submitted, notifications made by phone on such issues will not be accepted. The date of the incident, the number of times it occurred, information such as relevant persons, witnesses and other supporting documents should be added to the report. SECTION 4 - CHANGES IN DISTRIBUTORSHIP OWNERSHIP ⦁ Succession in Case of Death or Incapacity ⦁ Policy and Procedure. Upon the death of a distributor, the Contract and the distributor's rights will pass to the heir(s) as stipulated by law, provided that the legal heir(s) meets the conditions required to become a distributor. However, until the said heir submits to Bee'm International a certified copy of the death certificate and the business transfer form completed to reflect the new ownership together with the probate testamentary authorization certificate or a court decision in which the legal heir is determined, Bee'm International will not recognize the related transfer. 10 Upon the company's conviction that the transfer is appropriate, the distributorship will be transferred to the heir. After the transfer, the successor will have the same rights and obligations as other distributors. ⦁ Interest. The transfer of distributorship specified in this sub-article will be subject to the Benefit provisions specified in article 2.2, but an heir who is in the position of inheritor and is already a distributor will be able to choose which distributorship he can operate. The selection must be made within 30 days of notification to the Compliance Department. Upon notification, the Compliance Department will terminate the non-selected distributor. 10 See P. Appendix A. October 2016.9 ⦁ Companies. If the distributor is a company and the sole owner of the company passes away, the transfer of the company's distributorship to the heir (s) who are legally entitled to the company will be carried out in accordance with the provisions of article 4.1.1, unless otherwise provided by a court decision. 4.1.4 Non-Performance. In the event that a distributor becomes incapacitated and it is not possible to operate his distributorship, the Company will agree to the operation of the distributorship by the authorized representative of the distributor during the incapacitation. For this purpose, the authorized representative must present appropriate evidence of the distributor's incapacity, as well as an original document (for example, a permanent or conditional power of attorney) that properly proves the Company's authority to act on behalf of the incapacitated distributor in such a way that it can verify that it is legal. ⦁ Divorce or Liquidation ⦁ Requirements. During the ongoing divorce or legal entity liquidation process, both parties must adopt one of the following business methods: ⦁ One of the parties may conduct Bee's International distributorship with the written permission of the other(s) and Bee's International in a way that deals directly and alone with the other spouse or non-quitting shareholder, partner or trustee, or ⦁ The parties may continue to jointly conduct Bee's International distributorship on a usual operating basis; pays payable in this case, My BeeInternational will continue to pay all wage payments as before the divorce or liquidation. ⦁ Commission Payouts. Dec pay will not divide commissions between divorced spouses or members of liquidated entities, and My BeeInternational will pay the profits in the usual way. In the event that the parties to a divorce or liquidation process are unable to resolve a dispute over the distribution of Commissions and the ownership of the distributorship, no changes will be made to the distributor Agreement and payments until an authorized court order is received. Unless a different approach is required within the framework of extraordinary circumstances to be determined at the exclusive discretion of the Company, the appreciation and compensation will be carried out in accordance with the past practices determined by the Company for the distributor. ⦁ 6 Month waiting Rule. If one of the former spouses has waived all rights to distributorship in accordance with the divorce decision issued as part of a divorce, he must wait six (6) months before applying for a new distributorship. The Company may, at its exclusive discretion, remove all or part of the waiting period. In case of liquidation of a legal entity, those who have an Interest in the legal entity should wait six (6) months from the date of final liquidation before re-registering as a distributor. But in both cases, the ex-spouse or business partner will have no rights in terms of distributors or former Customers involved in his previous organization, and he must start a new business like any other new distributor. ⦁ Transfers involving Spouses or Related Companies ⦁ Persons The distributor, who is a person, may transfer his interests (and, if relevant, the interests of his spouse) to a legal entity that is wholly (100%) owned by one or both spouses. (Example: Mr. A is the sole right holder of a distributorship. In order for him to transfer his rights to XYZ company, he (and his wife) must be the sole shareholder, director or member of the board of directors of XYZ company.) ⦁ Company. The distributor, which is a legal entity and is wholly (100%) owned by an individual and/or his/her spouse, may transfer his/her interests to the individual and/or his/her spouse. Example: The entire company XYZ is (100%) owned by Mr. A. the distributorship is on behalf of the XYZ company. In this respect, company XYZ may transfer its interests to Mr. A (and to Mrs. A through the same account). ⦁ Transfer Requirements. To make a transfer, the distributor must submit the following along with the amended distributor Application: ⦁ if the spouse is to be added, a copy of the marriage certificate; ⦁ if the spouse is to be removed, a notarized copy of the permission certificate signed by both spouses; ⦁ if it is to be transferred to a legal entity, a certificate of activity issued by the competent authority and a copy of the establishment documents showing all rights holders and management, or ⦁ if it is to be transferred from a legal entity to a person and/or a person and his spouse, a certificate of authority signed by a manager or a member of the board of directors of the legal entity, as well as the person (and, if relevant, his spouse). ⦁ Change in the Form of a Legal Entity A distributor who is a legal entity and wants to change the form of its organization will be able to change the form of its organization as long as it does not lead to a change in the Interests of the legal entity. All stakeholders of the official legal entity must issue a signed and notarized or otherwise approved document stating that they accept the amendment. In addition, a notarized decision that the new legal entity assumes the Contract and all responsibilities that may be available to Bee'm International, as well as the amended distributor Agreement, must be submitted by the New legal entity. A transaction fee will be charged for this (see Appendix A. October 2016.16). The members of the previous legal entity will be jointly and severally liable for debts or other obligations to Bee'm International. ⦁ Restrictions Changes made within the scope of Articles 4.1, 4.2, 4.3 and 4.6 will not include a change in Sponsorship and are subject to a fee (see Section 4.1, 4.2, 4.3 and 4.6). Appendix A. October 2016.16). If the change causes a change in the Interests of a distributor, this change will be subject to the rules of priority rights specified in article 4.7. ⦁ Transfer or Sale of a distributorship 12 ⦁ Policies. Bee'm International does not approve the sale of the distributorship, the transfer of partial rights in the distributorships and fraudulent partnership practices for the transfer of rights. October 2016.5 if the distributor wishes to sell, transfer or assign all or part of the rights held by any Bee's International distributor (referred to as the “transfer” in this section), in this case, ⦁ the transfer will be subject to the rules of Priority Rights specified in article 4.7, and ⦁ as a result of the transfer, the sponsorship line cannot be changed, and ⦁ the selling distributor cannot reapply to become a distributor under another Sponsor for a period not less than that specified in article 2.10, and ⦁ if approval is granted, the purchasing distributor must submit the Job Transfer Form completed in accordance with the instructions together with a new distributor Application and Contract. ⦁ Companies. Changes made to the Stakeholders of a legal entity by adding or replacing a shareholder, board member, manager, director or member (but certainly not by removing or resigning the position) are considered as a transfer of rights and are subject to the priority right procedures specified in article 4.7 in this regard. ⦁ Reserved Rights. Regardless of the considerations stated otherwise here, the Sponsor or lower-tier distributor(s) will make the transfer from their current position only if it is deemed appropriate for the interests of the business, as determined by Beeam International at its exclusive discretion. distributors waive any claim rights against the Company in matters arising from or arising from the decision related to this situation. ⦁ Priority Right (RFR) All offers for the sale or transfer of ownership of a distributor are subject to the priority rights described herein, but will not apply to transfers made within the framework of articles 4.1, 4.2 and 4.3. ⦁ Procedures. If a Bona Fide Offer is transmitted to a distributor to purchase its interest in the distributor (as described below), the distributor will first make an offer to Bee'm International to purchase that interest, subject to the terms and conditions contained in the Bona Fide Offer. the distributor shall transmit the Bona Fide Offer to Bee'm International in writing and Bee'm International shall have the right to accept the offer within fifteen (15) business days. A ”Bona Fide Offer" is a written offer made by a non-distributor in accordance with its peers to purchase distributorship rights and obligations, provided that Bee's International considers it a legitimate offer in accordance with its exclusive discretion. Proof of a legitimate offer may include, without limitation, cash amounts or securities deposited in an escrow account, proof of credit commitment, and other steps taken exclusively to purchase distributorship rights and obligations. ⦁ This clause will apply to each new Bona Fide Offer received by the distributor. ⦁ Approval of the Compliance Department. Seller and buyer must submit the following to the Compliance Department for review and approval: i) a purchase and sale agreement signed between seller and buyer Dec; ii) A distributor Application and Contract filled out and signed by the buyer, and iii) a completed Sales/ Transfer Form. Bee'm International may request additional documents that it may need to analyze the transaction between the buyer and the seller. Dec. The Compliance Department, within the framework of its absolute discretion, will approve or reject the sale, transfer or assignment within three (3) business days after receiving all the necessary documents from the parties. distributors waive any claim rights against the Company in matters arising from or arising from the decision related to this situation. ⦁ Sales that can be Canceled; Assumption of Obligations, Waiting Period. If the seller transfers or attempts to transfer the he distributorship to Bee'm International on terms other than those specified in the submitted offer, He may cancel these transactions at his discretion. In addition, if the parties do not receive Bee'm International's approval for the transaction, Bee'm International may reject the transaction. CHAPTER 5 -INTRODUCING BEE'S INTERNATIONAL PRODUCTS AND OPPORTUNITIES ⦁ Product Sales ⦁ Sales Presentations. In sales presentations, distributors will accurately introduce themselves, Bee'm International products and the purpose of their business to potential customers. distributors may not benefit from misleading, deceptive or unfair sales practices. The description and display of the offered products will be accurate and complete in all respects, including, without limitation, the price, pay terms, return rights, warranties and delivery with after-sales services. ⦁ One-on-one interviews or phone calls will be conducted in a reasonable manner and within reasonable hours to prevent an intrusive attitude. distributors must immediately terminate a promotional show or sales presentation at the consumer's request. ⦁ distributors will not abuse the trust of individual consumers, respect consumers' lack of commercial experience, and will not exploit a Customer's age, illness, lack of understanding, or lack of language skills. ⦁ Distributors will not disparage any other company or product in a direct way or by implication. distributors will refrain from making comparisons that may be misleading or incompatible with the principles of fair competition. Comparisons will not be chosen unfairly and will be based on provable facts. ⦁ When renting a facility for a meeting, the fee to be charged from the participating distributors and their guests will be limited to the amount reasonably necessary to cover the direct costs of the meeting. The purpose of such meetings is not to provide profit to distributors.13 ⦁ sales presentations should limit the content and opportunity specific to Bee's International products. ⦁ Recommended Retail Price. My Bee's International provides a suggested retail price as a guide for a distributor's retail sales. A distributor is not allowed to advertise any price below the wholesale price; however, a distributor may privately market and sell Bee's International products to its Customers at any price they agree to. ⦁ Sales Receipt. When a face-to-face sale is made, the distributor will provide the Retail Customer with a completed October sales receipt in accordance with Annex B. distributors will keep copies of sales receipts for at least three (3) years from the date of sale. ⦁ Bee'm International, within its discretion, may conduct random and target-specific distributor audits to determine distributors' compliance with this article. In addition, My BeeInternational can meet with Retail Customers to verify sales. ⦁ Distributors who fail the inspections will be subject to settlement actions, including those specified in articles 8.2 and 8.3. ⦁ Claims This article specifies the product and opportunity claims and limitations that distributors can submit. In addition, the types and methods of advertising that the distributor can use when setting up a Bee'm International business are also described. ⦁ product Claims. A distributor can make claims that are included in the Official Bee'm International Literature for the country where the products are approved. A distributor will not make product claims that are not included in the Official Beeam International Literature. ⦁ Opportunity, Lifestyle and Income Claims. distributors must disclose the Earnings Plan accurately and fairly. ⦁ Past, possible or actual income claims cannot be submitted to current or prospective distributors, and distributors cannot use their own income to guarantee success to others. ⦁ distributors may not display Commission payouts or make specific income claims or statements when employing or describing an opportunity. ⦁ Images of cash prizes will not be posted online or used in other ways to promote the opportunity. ⦁ Permissible Claims. Lifestyle and income claims arising from the Earnings Plan will be strictly in accordance with the claims permitted in Annex C. October 2018, 2018, 2018, 2018. ⦁ Advertising Materials Bee'm International opportunity and its products are subject to legislation in many ways, so it is important to comply with advertising law. The company makes every effort to comply with advertising law and expects the same approach from distributors. ⦁ Use of Materials for ten months. When presenting Bee'm International products and/or Bee'm International Earnings Plan and opportunity, only Official Bee'm International Literature can be used. Bee'm International literature may not be reproduced or reprinted without the prior written permission of Bee'm International Compliance Department. In order to obtain permission, a copy of the proposed advertising material must be sent to the Bee's International Compliance Department by mail, fax or e-mail. A text for which permission has been obtained cannot be amended or changed. If any changes are made, the new material must be sent for approval. distributors must allow forty-eight (48) hours for the processing of the material. ⦁ Electronic Advertising. When advertising in the press, radio, television, Internet, electronic or other media, only materials approved by My Beeinternational may be used. Banners, commercial exhibition materials and other related promotional materials must be approved in advance and in writing by My Bee International. The items found on the corporate website and the copied website can be downloaded for promotional purposes. However, a distributor may provide free products for promotional purposes. ⦁ Trademarks and Copyrights ⦁ Property. The Bee'm International name and the name of all Company products, services and programs are Trademarks of the Company and belong to the Company. The Company also grants licenses for the rights to the names and contents of certain Company products (Third-Party Brands). The Company allocates significant resources for the implementation, preservation and protection of its trademarks and copyrights. ⦁ Permitted Use. distributors may use trademarks and Third-Party Trademarks only if they are authorized in writing. A distributor may not use the Company's names or trademarks, names, logos, email addresses, commercial presentation forms or trade names or distinctive expressions used by the Company and Third-Party Brands to promote the distributor's Bee'm International business without the written permission of the Company. If the Company gives written permission, when the Company changes or drops any of the trademarks or trade names, the distributor agrees to change or drop the trademark or trade name in the same way. For the protection of the company's rights, a distributor may not obtain any rights, proprietary rights or interests in the names, trademarks, logos or trade names of Bee'm International or Bee'm International products by applying for a patent, trademark, internet domain name or copyright. Illegal use of a trademark that Bee'm International does not own or license is strictly prohibited. When a distributor has the authority to develop and sell giveaway products, it may use the Bee'm International trademarks if authorized in writing; however, it may not sell these giveaway products for more than the cost. ⦁ Unauthorized Registrations. distributors may not use the Company's trade names, trademarks, service marks, copyrights, product names or the Bee'm International name or its derivative and may not attempt to register it with any official or private organization (including the internet domain name registration service). ⦁ Usage Rights. the distributor acknowledges that no license obtained from the Company for the use of Bee'm International's trademarks and copyrighted materials is of an exclusive nature. the distributor expressly acknowledges that all goodwill associated with trademarks and copyrighted materials (including goodwill arising from the distributor's use) directly and exclusively declares in favor of Bee'm International and belongs to Bee'm International, and upon termination or termination of the distributor Agreement, no monetary amount may be attributed to goodwill associated with the use of trademarks or copyrighted materials by the distributor. ⦁ Damages. distributors are liable to Bee'm International for damages arising from any form of misuse of Bee'm International's trade names, trademarks, service marks, copyrights and other intellectual property rights, except as specifically permitted under these Policies and Procedures or as otherwise approved in writing by Bee'm International. ⦁ Copyright. All copyrights of the Company's literature, audio recordings, video recordings, internet website materials and programs belong to the Company and can only be copied with the Company's prior written permission. ⦁ Other Uses and Advertising Tools ⦁ Determination of Independent Contractor Status. When a Bee'm International trade name or trademark is used in an advertisement, it is clearly stated that the distributor is an independent distributor of the Company. ⦁ ”Free" Phone Number Lists. Bee'm International distributors are not allowed to list their ”toll-free" phone numbers under the Bee'm International trade name. ⦁ Printed Checks Bee'm International distributors are not allowed to use the Bee'm International trade name or any of its trademarks on their own commercial or personal checking accounts. ⦁ Printed Business Cards or Letterhead. Bee'm International independent distributors are not allowed to create their own business cards or letterheads using the Bee'm International name or trademark without prior written approval from Bee'm International. ⦁ Internet and Website Advertising ⦁ Bee'm International Copy Websites. Except for the matters specified in this article, only a copy of Bee'm International's website program may be used to promote or sell Bee'm International products or opportunities on the websites. Duplicate websites must be connected directly to the official Beeam International website without problems to ensure that the distributor maintains a professional and Beeam International-approved presence on the Internet. ⦁ No Unauthorized Use of the Website. No distributor (except as described here) may grant permission for a website, act as the owner or user of the website, or use Bee's International's names, logos, or product descriptions (directly or indirectly) to promote Bee's International products, opportunities, or services on a website. Online third-party retail sales platforms (Amazon, Alibaba.com , Allegro etc.) and auction sites (eBay) and Social Media sites (for example, Facebook Marketplace, Wish, etc.) are not authorized distribution channels and will not be used to sell Bee'm International products. ⦁ Educational Website. A distributor must reach the Emerald Admin level to apply to operate an educational website, including a website offering lead generation services. A distributor must enter into a website agreement before launching the educational website. The Training Website License and Procedure Form must be requested from Bee'm International. ⦁ Websites. Products sold on the Internet (on a retail sales site as described here or on another website approved by My Bee International) are sold and advertised in accordance with the terms of these Policies and Procedures. A distributor must enter into a website agreement to operate a website and obtain approval from the Company's Compliance Department. the distributor Website License and Procedure Form must be requested from Bee'm International. In the case of, approval must be obtained before the website is put into operation or renewed. This is not an educational site. It is forbidden to sell products on such websites through a special shopping cart. ⦁ Social Media. distributors may use social networking sites, blogs and other social media and applications such as content created by users, forums, message boards, blogs, wikis and podcasts (together, “Social Media”) to (1) transmit preliminary information about My Bee International or the distributor's relationship with the Company, (2) direct users to a Company-owned website or an approved distributor website, and (3) publish Official Company Materials that are allowed for publication. If My BeeInternational believes that the content published according to this sub-article is inappropriate for any reason, the distributor must remove the content in question no later than 24 hours. distributors are not allowed to use any Social Media platforms to sell Bee'm International products directly. (For example, Facebook Marketplace, Wish, etc.). ⦁ Additional Requirements. If the Company gives the distributor prior written permission to use a website or otherwise advertise online for the purpose of promoting products or Opportunities in any way, distributors must comply with the rules set out in the written permission, as well as the following considerations: ⦁ distributors will not make offers or incentives for seduction for the purpose of selling products or services or sponsoring distributors, essentially under the guise of research, surveys or unofficial messages; ⦁ distributors, regardless of whether they collect personal information from individual customers, will explain to the consumer in a prominent place on the website how consumer information will be used, and will also act in accordance with all kinds of privacy and personal data protection laws and regulations; ⦁ distributors will never use or share personal information collected online unless its use is in accordance with the Contract. distributors will offer individual consumers the opportunity to prohibit the distribution of this information, and if any customer requests that their personal information not be shared, distributors will refrain from sharing this information; ⦁ distributors will offer individual consumers the option to terminate communications between distributor and consumer, and if any consumer requests a distributor to terminate communications, the distributor will immediately stop communications upon such request. ⦁ distributors will provide consumers with the option to terminate communications between distributor and consumer. ⦁ distributors will immediately terminate communications upon such request. ⦁ distributors will immediately terminate communications between distributors and consumers. ⦁ distributors will immediately terminate communications upon request. ⦁ distributors will immediately terminate communications between distributors and consumers. ⦁ distributors will immediately terminate communications between distributors and consumers. ⦁ distributors will immediately terminate communications between distributors and consumers. ⦁ distributors will immediately terminate communications between distributors and consumers. ⦁ distributors will Decrypt; ⦁ distributors must adhere to all laws and regulations related to electronic communications; ⦁ distributors may not distribute content using distribution lists or to any person who has not given special permission to be included in such a process; sending or distributing chain letters or junk mail is not allowed; ⦁ distributors may not distribute content that contains illegal, harassing, insulting, defamatory, malicious, threatening, harmful, vulgar, obscene or otherwise objectionable materials or that may cause civil liability or otherwise violate any applicable local, state, national or international laws or regulations, and ⦁ distributors may not send bulk unsolicited emails directly or indirectly to people with whom there are no previous or current personal or business relationships. ⦁ Internet Domain Names. A distributor must not use or register Beemy International's trademarks, trade names or product names or any derivative or abbreviation thereof as a domain name, social media account name or email address. ⦁ Advertising by Email or Newsgroup. Distributors who send unsolicited and unapproved e-mail ads by e-mail or use e-mail-oriented services are fully responsible for all information related to the product and marketing program that is not explicitly included in advertising and promotional materials directly supplied by Bee'm International. In accordance with various laws, “bulk e-mail sending” and communication by telephone or fax is strictly prohibited without prior permission. distributors will not vilify, abuse, harass, stalk or threaten others, or violate the legal rights of others (such as privacy and publishing rights) in other ways. distributors shall not publish, upload, distribute or transmit any inappropriate, disrespectful, degrading, infringing, obscene, vulgar or illegal subject matter, name, material or information in writing or via the Internet. distributors will not advertise or offer goods or services for sale for any commercial purpose or attitude, or send surveys, contests, bliss chain scams or chain letters. Users of the Bee'm International website will not participate in any activities that would limit the use and enjoyment of the website by any other user. In accordance with Article 5.4, Bee's International trademarks will not be used by distributors in e-mail addresses ⦁ Registration Procedures. distributors will not produce audio recordings or video materials that describe the Bee'm International opportunity or products in detail, or reproduce those produced by Bee'm International. distributors will not receive audio recordings of any Bee's International meetings, events or conferences and will not share these recordings online on social media forums. ⦁ Don't Answer the Phone. distributors may not answer phones by saying “My Bee International” or in any other way that may lead the caller to believe that they have reached the Headquarters of My Bee International, or create such records. ⦁ Voice Mail Systems. Bee'm International has a voice mail system for use by distributors. This system is a tool for improving communication with lower-level networks. In no event will a distributor use the Bee'm International voicemail system to increase the sale of other services and products or to promote any non-Bee'm International programs or opportunities. ⦁ Permitted Sales Channels; Retail Enterprises, Service Enterprises ⦁ Service Enterprises Upon approval by the Bee'm International Compliance Department, a distributor will be able to offer products through the trade channels specified in the Contract, except for chains consisting of three or more enterprises, which include gyms, hairdressers, offices and similar enterprises, these channels are included Dec. There will be no advertising signs outside the business. Among the Decals to be used on the interior, there will be a sign that the products are offered by an independent Bee'm International distributor. Prohibited trade channels include retail businesses. A retail business is a fixed location that the main business uses to sell products to the public. ⦁ Approvals No claims of approval will be made by third parties, except as expressly stated in the Bee's International literature and communications. However, a distributor may use photos of himself or his family or third parties before and after using the products, subject to obtaining permission. the environment in which the “before” and “after” product photos are taken should be as similar as possible. In other words, light, angle, facial expression, makeup, clothes, etc. it should be as much the same as possible. Before arranging a space or making a deposit to the event organizers, distributors must first obtain approval from My BeeInternational to make sure that no other distributors have approved participation in the event. ⦁ Approval will be given for three separate stands operated by distributors. Applications for the order to be approved are received. Approval is granted only for the specified events and dates, in this case the ‘ongoing’ approval will be withdrawn or canceled unless the event is regular in the ongoing Sundays. Any request to participate in future Events must be submitted for approval again. Prior participation in an event will not guarantee confirmation of the distributor's future participation in any event. ⦁ The distributor must use approved signage, literature, promotional materials and advertising at events. the distributor must clearly state that he is an independent Beeam International distributor. distributors are required to operate special Bee'm International stands at events, which means that no other products or services can be offered at the stand. ⦁ Bee'm International does not provide liability or any other insurance coverage that is sometimes required to participate in such events. Relabeling, repackaging (including separation of co-packaged products or packaging of products) and other changes are not allowed. It is forbidden to tamper, falsify or otherwise change any serial number, UPC code, QR code, group code or batch code or other identifying information about products or packages. To ensure the safety and well-being of its end users, the distributor will cooperate with Bee'm International in terms of product recalls or other consumer safety and information dissemination efforts, including, but not limited to, contacting the distributor's Retail Customers. ⦁ Media Interviews distributors are prohibited from giving radio, television, newspaper, tabloid, Internet or magazine interviews or appearing in public, making public speeches or making any kind of statements to public media to promote Beeinternational and its products or BeeInternational's business without the express written approval of Beeinternational in advance. SECTION 6 - COMMISSARIES, BONUSES AND OTHER COMPENSATION ⦁ Eligibility and Pay ⦁ Earnings. If a distributor does not violate the Contract and complies with the requirements, he is entitled to receive Commissions and earnings according to the most recently published Earnings Plan. Commissions and bonuses are paid ONLY on sales of Bee'm International products. No bonus is paid in exchange for the receipt of sales materials, sales support materials or the employment of distributors. ⦁ No Guarantee of Earnings is Given. No distributor is given a special guarantee of revenue or profit or success. Earnings and success are absolutely dependent on successful retail sales, the use and consumption of products, as well as the activities of other distributors at the lower level. ⦁ Pay. Bee'm International pays Commissions within thirty (30) days after the end of a Commission period. Bonuses received from promotions are paid within the period specified in the promotion terms. Pay paying fees for company accounts, My Bee International will make payments to the company that is in the account, otherwise it will pay fees to the main account holder. Without prejudice to the company's right of termination, if a distributor violates any terms or conditions of the Agreement, Bee'm International may suspend or cancel pay. In addition, if any debt is found, My Bee may pay a debt to the International distributor's account or withhold Commission payments. ⦁ Adjustments to Commissions. When a product is returned to My Bee International with a refund request, Commissions and Bonuses related to the returned product(s) will be deducted from each ongoing payment from the Month of the Commission paid and after the refund, until the full amount is refunded from distributors who received Commissions or Bonuses from the sale of returned products. ⦁ Errors or Questions. If a distributor wants to ask questions about Commission and Bonus calculations, fees or offsets, or believes that mistakes have been made in these matters, the distributor must notify the Company in writing within sixty (60) days from the date of the relevant incident or alleged problem. Bee'm International will not accept responsibility for errors, omissions or problems that have not been notified within sixty (60) days. ⦁ Minimum Commission Pay Amount. Commissions will only be paid if the total amount during the commission period is US$10 or more. ⦁ Transaction Fees. A fee will be determined that Bee'm International will offer to the distributor (see Appendix A. October 2016.16). In addition, Bee'm International may also charge a transaction fee for special services requested by the distributor (for example, special reports- Bee'm International may charge an hourly rate or a flat fee over a minimum of one hour).15 ⦁ Collection of commissions. pay December commissions paid to the virtual wallets of distributors should be collected at regular intervals. if the distributor has not been active for at least (6) months (see 15 where there are no sales or sponsorships). Otherwise, the distributor himself is responsible for any damages that may arise. ⦁ Bonus credits cannot be used for product orders. ⦁ For the returned and approved products, only the exact PVS applied to the order will be paid. ⦁ Prohibition of Commission/Bonus Purchase It is strictly and absolutely forbidden to purchase products from the lower tier of the distributor in order to earn more Commissions, bonuses and other earnings or to advance the tier. The bonus purchase includes the following: ⦁ Registration of persons or companies unannounced and/or without signing a distributor Agreement; ⦁ Fraudulent registration of a person or company as a distributor or Customer; ⦁ Registration of non-existent persons or companies as distributors or Customers or an attempt to do so (“imaginary distributors or Customers”); ⦁ Purchase of products on behalf of another distributor or Customer; ⦁ Purchase of goods or services in excessive quantities that are unreasonable to use or resell in one month and/or ⦁ Use of another mechanism or trick to qualify for promotion, incentives, rewards or bonuses by methods that do not arise from actual product purchases by end users. SECTION 7 - PRODUCT ORDERING & SHIPPING ⦁ Placing an Order ⦁ Discounted Purchases. distributors have the right to purchase products from Bee'm International at a certain discount on the retail price. All prices related to Bee'm International products and literature are subject to change without prior notice. ⦁ Direct Purchases. A Bee'm International distributor must purchase products directly from Bee'm International. If a distributor purchases a product from a Sponsor or from the personal stock of an upper-tier distributor, the commissions associated with the purchase transaction will be attributed to the Sponsor or upper-tier distributor who purchased the product. ⦁ Purchase Limits. The Bee'm International opportunity is based on selling products to end consumers. The main opportunity of a distributor is to develop and retain Customers. The company also allows the purchase of products for personal consumption and use for the purpose of starting a business. A distributor agrees not to purchase more products than he can sell to his Customers within a reasonable period of time or use in person as permitted here. ⦁ The Seventy Percent Rule. distributors are not required to purchase or keep any amount of product stock. in terms of the products purchased by distributors, the distributor must personally sell, consume or use at least seventy percent (70%) of the products contained in each order placed with the Company before placing another order. the distributor agrees to verify that it complies with this provision if requested by the company or an official authority. ⦁ Accumulated Orders. Jul If Julien's International products or sales materials are not available for any period of time, the distributors of Julien's International will have the option to place the order(s) and wait until the products are delivered or cancel the order without compensation and with full refund until the related products are ready for shipment. The success of Bee'm International is based on retail sales to the end consumer; therefore, all types of stocking should be abandoned. Bee'm International acknowledges that distributors may wish to purchase certain products in reasonable quantities for their own use, for stock purposes and for the purpose of supplying products for new distributors that they have Sponsored. ⦁ Purchases by Credit Card ⦁ Restrictions. Purchases with a credit card can only be made by the person whose name and address are indicated on the credit card. Any distributor who uses another person's credit card to pay for purchases must submit a credit card authorization form with the order to My BeeInternational before placing the order. Bee'm International considers unauthorized credit card use as fraudulent and will report such transactions to the relevant authorities for resolution. ⦁ Reimbursement. Under no circumstances will distributors refund the amount of credit card purchases. A distributor who commits such an action will be assumed to have voluntarily resigned from the distributorship and the Contract will be terminated. If an incorrect amount is withdrawn from the distributor's credit card, the distributor must immediately notify Beeam International for the investigation and possible refund process to be initiated. ⦁ Shipping ⦁ Distributor's Responsibilities. The distributor who placed the order is solely responsible for specifying (a) the shipping method and vehicle and (b) the destination address. The methods that can be used are indicated on each order form and on the Bee'm International website, together with the shipping costs paid in advance. ⦁ Bee'm International will accept only the full address for shipping. ⦁ Orders will be sent with contracted shipping companies so that orders can be tracked and changed on time if necessary. Bee'm International will not be held responsible for any delivery that fails due to limitations arising from the address specified by the distributor. ⦁ Costs. [reserved] ⦁ Risk of Damage and Transfer of Ownership. The risk of loss and ownership rights of the products purchased and sold in accordance with this article will be transferred to the distributor when the products are delivered from the distributor's warehouse or delivered to the distributor according to the terms of the order. ⦁ Damaged Shipments If the product has been delivered damaged, the distributor must accept delivery and indicate the number of parcels determined damaged on the delivery receipt before the driver leaves, and if possible, take photos to use as evidence, store the damaged product and parcel(s) for inspection by the shipper, make an appointment with the shipping company to inspect the damaged goods, and if necessary, request compensation from the shipper and inform Bee's International's Customer Service Department. ⦁ Missing Submissions. Bee'm International is a company known for fulfilling orders accurately and on time. However, in the rare event of an error, the problem will be corrected immediately so that the buyer will not be subject to further delays. distributors must report any damage within five (5) business days of receiving the shipment. After the notification is made and confirmed, My Bee International will send the missing items to the address on the original order. ⦁ Non-Deliverable Orders. ⦁ If the recipient of an order sent from My BeeInternational refuses delivery and the sent order is sent back to My Bee International, the status of the ordering distributor will be set to “suspended” until a decision is made on the refusal of delivery. The return delivery costs will be deducted from the distributor's account. If the distributor does not provide sufficient instructions for delivery, he will be deemed to have abandoned the order and Clause 7.4.9 will apply. ⦁ If a package is returned due to the distributor's error, or if the package is not received on time and returned, Beeam International will reflect the shipping fee to the distributor. ⦁ The “Do not Keep Waiting” Rule for Submissions. My BeeInternational will not “hold up” or delay shipments of products that have been processed. After paying, all orders must be released by being approved for shipment. ⦁ The Rule of Not Sending Consignment Goods. In order to protect the Bee'm International business and the integrity of Bee'm International, Bee'm International products may not be delivered on consignment to a Bee'm International distributor or any other party. Only authorized Bee'm International distributors can sell Bee'm International products. ⦁ Abandoned products. if the distributor does not receive the products to be delivered within one (1) month from the order date, a monthly warehouse fee will be charged at the rate of 10% of the total order amount. If this fee is charged for 10 months, the order will be canceled and the Company will charge the total order amount (including tax and shipping, if any). The products in question will not be delivered to the distributor. If the products are delivered before the order is canceled, there will be no fee and the products will be delivered. ⦁ NFR Orders. ⦁ Bee'm International's shipping fees for international Non-Resellable (NFR) orders include delivery to the recipient's address, but do not cover other fees that may be applicable in the country of destination, such as handling, certification, quarantine fees, fees, taxes, storage costs (without any limitations). These fees must be paid by the distributor who placed the order on a case-by-case basis. ⦁ Shipments from abroad are exempt from customs. In other words, My BeeInternational does not collect taxes and fees. Depending on the country where the order is placed, these taxes and fees may be collected by the official authorities of the country of the distributor who placed the order upon the shipment's Sunday access. These fees are determined at the local level and Bee'm International has no influence or financial interest in them. If a country has not entered into a special agreement and/or has not set a threshold amount for tax-free products, taxes on customs-exempt products may usually need to be paid before delivery of the products and in local currency. ⦁ distributors must comply with the restrictions related to NFR Orders and products. The products to be sold in any country must be obtained directly from an authorized BeeJulInternational office or warehouse and must be labeled for the relevant country. It is strictly prohibited to resell NFR products, make illegal and unapproved health claims about products, and provide misleading information about products and claims arising from NFR orders or products in any way, and it will be considered a gross violation of distributorship and severe penalties will be applied at the Company's discretion. ⦁ Return of Orders ⦁ Return Policies. for policies related to the return of products and Sales Support Materials, see the Return Policy for products and Sales Support Materials. Appendix B. October 2019. ⦁ Commission Adjustments. My Beeinternational will request a refund of the Commissions paid for the returned products in order to issue a refund or take them back. The volume deducted from the upper tier distributors due to product returns will be recalculated and adjustments related to Commission, earnings and Tier will be made. SECTION 8 - DISPUTES; VIOLATIONS; BREACH OF CONTRACT; TERMINATION; OBJECTION ⦁ Disputes Between distributors When a distributor has a problem with another distributor about a practice or behavior related to his own distributor, or complains about it, the distributor should strive to Decipher this problem together with the other distributor. If the problem is related to another distributor's interpretation or violation of the Contract, the distributor who filed a complaint or experienced a problem should notify the Bee'm International Compliance Department in writing by e-mail or registered mail with a refund. The date of the incident, how many times it happened, information such as people involved in the incident, witnesses and other supporting documents should be added to the report. Such communications must contain the distributor's signature and user ID. Complaints made without identification will be accepted, but Bee'm International cannot take corrective action without reliable evidence. The transmission of such information by telephone will not be allowed because both the complaining party(s) and the person(s) alleged to have violated the policy must submit written documents. Bee'm International may inform the top-level leaders of a distributor about actions taken or possible actions taken in accordance with the provisions of this article 8. ⦁ Remedies for Contract Violations Bee'm International's practice is to try to remedy violations by educational methods when appropriate. An increased disciplinary penalty may be warranted by the violation or the nature of the violation. The solutions selected by Bee'm International are entirely within its discretion. All remedies are cumulative and are not exclusive to other solutions. ⦁ Education. Bee'm International's practice is to train distributors who may violate any of the policies in the Agreement. This training is typically done through a training letter. When a distributor violates any of the policies contained in the Agreement, Bee'm International may notify the distributor of the situation in order to provide information and training to the distributor about Bee'm International policies, if appropriate. If educational efforts are ignored and violations are repeated, My BeeInternational may take action against distributorship. However, if Beeam International decides in its sole discretion that any action is appropriate and necessary for the protection of the Company, this article will in no way limit Beeam International's right to take tougher action, which will include suspension and termination. ⦁ Suspension. My BeeInternational may suspend a distributor Contract for justified reasons. ⦁ Such involuntary suspensions are within the sole discretion of Beeam International. Typically, a suspension is imposed pending the investigation of violations. Bee'm International will inform the distributor by mailing and/or e-mail sent to the last address listed with Bee'm International for the distributor. In the event of suspension, a distributor will immediately cease to represent himself as a Bee'm International distributor. ⦁ The duration and conditions of the suspension may vary depending on the circumstances and the investigation. The suspension may or may not result in the termination of the distributor account's account. ⦁ Consequences of Suspension. ⦁ During the period of suspension of the contract, product orders are subject to the discretion of the Company. ⦁ If available, all commissions, extra bonuses or bonuses payable will be withheld by My BeeInternational until the issue is resolved. Pays payable to the distributor If My BeeInternational considers that the violation has not been proven, the suspension will be lifted and the unpaid earnings will be transferred to the distributorship's account, but if the violation is proven, My Bee International may decide not to pay all or part of the earnings to compensate for the damage caused by the distributor's violation. ⦁ During the relevant suspension period, Bee'm International has the right to prohibit the relevant distributor from purchasing products and services. ⦁ A suspended distributor will not have the right to advertise himself as a distributor or promote his business or products during the relevant period. ⦁ Fines When the conditions are deemed appropriate and within the absolute discretion of Bee'm International, a fine may be imposed by Bee'm International for breach of Contract. 16 ⦁ Volume Adjustments. In cases involving line switching and related violations, Bee'm International may transfer volume to other Sponsorship Lines, where appropriate, and refund commissions previously paid. ⦁ Rank Adjustments. When a distributor advances in rank in violation of section 6, My BeeInternational may cancel the rank progression. ⦁ Termination ⦁ Termination. In case of breach of the contract, in addition to other remedies provided by law, the party who is not in default may terminate the Contract in October in accordance with the conditions set out here. ⦁ Notification-Serious Violation. if the distributor commits a serious violation, My BeeInternational may terminate the Contract by sending a written termination notice explaining the reason(s) for the termination to the distributor who committed the violation. The notification, which will be issued in writing, will be sent to the distributor by e-mail and/or registered mail with refund. if the distributor does not object in a timely manner according to the objection procedure set out below, the termination will take effect in accordance with the conditions set out here. ”Gross violation" means, without any limitation, Line Switching, Cross-Employment or Seduction (see "Gross violation"). article 3.9), Non-Seduction Before and After Termination, (see Article 3.9). article 3.7) refers to other violations in which Bee'm International reasonably believes that it will suffer damage, that attempts to correct it will be insufficient, or that the lower echelon of the distributor who committed the violation is at risk of Cross-Employment. ⦁ Notification-All Other Violations. A violation notification explaining the justification(s) of the violation will be prepared in writing and delivered to the distributor by e-mail and registered mail with refund. the distributor shall have the right to (i) respond with information to defend, mitigate or mitigate the violation or (ii) correct the violation within ten (10) business days from the date of notification (but this period will be 48 sat for violations related to product and opportunity claims). If no response is provided or the violation is not corrected, the Contract may be terminated without further notice. If a response is received, My BeeInternational will review the response and respond by sending a request for clarification or a notice of termination. ⦁ Effective Date. If an objection is not filed by the distributor in a timely manner in accordance with the objection procedure specified below, the violation notice will enter into force in accordance with the specified conditions. ⦁ Consequences of Termination. The distributor subject to termination must immediately, after termination: ⦁ Remove trademarks, service marks, trade names and any signs, labels, stationery or advertisements related to Bee'm International products, plans or plan programs and permanently cease its use; ⦁ Cease to promote itself as a Bee'm International distributor; ⦁ loses all distributorship rights and position in the Earnings Plan, as well as future Commissions and earnings; ⦁ Must take any actions reasonably requested by My Bee International regarding the protection of materials, as well as confidential information and intellectual property, and ⦁ Is prohibited from submitting a new distributor Application and Contract at any time in the future. ⦁ My BeeInternational must stop selling its products immediately. ⦁ The Right of Deduction. Bee'm International has the right to deduct any amount owed by the distributor to Bee'm International. If the termination laws do not comply with this policy, the applicable local law will apply. ⦁ Objection. A distributor subject to termination may object to termination by submitting a letter stating the grounds for objection to the Bee'm International Compliance Department. (Note: Under no circumstances will it be allowed to transmit the objection by phone call). Bee'm International must receive the objection letter within ten (10) business days from the date of the notice of termination or within the period specified in the notice. ⦁ If the distributor objects in a timely manner, Bee'm International will, in its exclusive discretion, review the situation and forward its decision to the distributor. The decision of My BeeInternational will be final and will not be subject to a separate review. ⦁ If the objection letter has not been submitted to Beeam International by the deadline, the termination will be finalized. ⦁ If the objection is rejected, the termination will take effect from the date of the original notification of Bee'm International. CHAPTER 9 - VARIOUS PROVISIONS ⦁ Contract ⦁ Integrity of the Contract. The Contract, as it is in force and amended at the discretion of Bee'm International, constitutes the entire agreement reached between Bee'm International and the distributor. Dec. Any promises, declarations, offers or other communications that are not explicitly stated in the Agreement will not be valid. The copy of the contract sent by fax will be considered as the original copy in all respects. ⦁ Change. Bee'm International reserves the right, at its absolute discretion, to amend the distributor Agreement, product prices, product availability and formulations as it deems appropriate. Any distributor Agreement amendments will be published on Bee'm International's website and will enter into force thirty (30) days later. It is the distributor's responsibility to be aware of current and up-to-date information, and Bee'm International cannot under any circumstances be held responsible for the distributor's lack of current and up-to-date information. In the event of a Deciency between the current Contract and any amendment, the amendment shall be valid. If I am Bee's International brochures, product catalogs, price lists, literature, website, fax request information, etc. if it is renewed, Bee'm International distributors can only use the most up-to-date version. ⦁ Renunciation. Bee'm International's failure to exercise any authority arising from these Policies and Procedures, or to require a distributor to strictly adhere to any obligations arising from the provisions provided for in these documents, or the practices and practices of the parties other than these Policies and Procedures, will not be interpreted as a waiver of Bee'm International's right to demand full compliance. A waiver by Bee'm International can only be made in writing by an authorized officer of Bee'm International. Bee's International's waiver of any specific default of a distributor will not affect or reduce any other rights of Bee's International or obligations of any other distributor; similarly, Bee's delay in exercising or neglecting to exercise any rights arising out of default will not affect or reduce Bee's International's right to such default or any subsequent default. ⦁ Separability. If any provision of the Agreement, including these Policies and Procedures, or any specification, standard, or operating procedure that Beeinternational may have provided for, is found invalid or unenforceable in accordance with any applicable and binding law or rule of any applicable country, Beemy International will have the right to change the invalid or unenforceable provision, specification, standard operating procedure, or any part thereof, to the extent necessary to make it valid or applicable. the distributor will be subject to such changes. The relevant amendment will be valid in the country where it is required. ⦁ Transfer and Assignment. A distributor may not transfer and assign its Contractual rights or obligations without the prior written permission of Bee'm International. In the event of any attempt to transfer or assign the Contract without the express written permission of Bee'm International, the Contract may be invalidated at the discretion of Bee'm International and this may lead to the termination of the Contract. ⦁ Provisions That Will be Valid After Termination. Any provisions intended to be valid after the termination or termination of the Contract, including, but not limited to, obligations related to arbitration, non-competition, non-seduction, trade secrets and confidential information, will remain valid. ⦁ Various Provisions ⦁ Limitation of Liability. To the extent permitted by law, Bee'm International and its affiliates, managers, board members, employees and other distributors will not be liable for any loss of profits, incidental, special, consequential or punitive damages that may arise from Bee's International's performance, non-performance, any negligence related to the business relationship or any other claims related to contractual, tort or all other issues arising out of perfect liability between the distributor and Bee'm International, and each distributor will not be liable for any damages of an incidental, special, consequential or punitive nature that may arise from any claim related to the distributor's performance, non-performance, business relationship or any other issues arising out of a contract, tort or perfect liability between the distributor and Bee'm International, and each distributor will be liable for Decriminalization, non-performance, non-performance, non-performance, non-performance, non-performance, non-performance, non-performance, non-performance, non-performance, non-performance, non-performance, non-performance, non-performance, non-performance, non-performance, non-performance, with this document, they make themselves innocent of all these responsibilities and waive all kinds of rights and claims related to them. Each distributor shall inform Beemy International and its shareholders, directors, board members, employees, agents and successors of the distributor's (a) activities as a distributor; (b) violation of the terms of the distributor Agreement or these Policies and Procedures; and/or (c) agrees to keep innocent of any claim, claim, liability, loss, expense or expense, including, but not limited to, court costs and attorney fees, arising out of or in any way related to or alleged to be related to or otherwise directly or indirectly related to non-compliance with or violation of any applicable federal, state or local laws or regulations, and to compensate and compensate for all damages they have faced or incurred. ⦁ Force Majeure. Bee'm International shall not be liable for delays or non-performance due to circumstances beyond the control of one party, such as strikes, labor disputes, fire, war, government decisions or orders, or a reduction in the overall supply source of one party. ⦁ Arbitration. If a distributor wishes to file a lawsuit against My Bee International for an act or negligence arising out of or arising out of a Contract, it must file a lawsuit within one (1) year from the date of the alleged act causing the said action. If no lawsuit is filed within this period, any claim against My Bee International will expire. the distributor waives any claim that other time-out periods are valid. SECTION 10 - DEFINITIONS ⦁ Commissions. The amount of profit earned by the distributor, determined according to the Commission-Eligible Volume of products offered or sold for retail sale by a distributor and/or its lower echelon. ⦁ Commission-Eligible Volume (PV). The value of points allocated to products sold for the purpose of calculating Commissions within the scope of the Earnings Plan. ⦁ Customer. End Consumers of the product, including Retail, Priority and Wholesale Customers. ⦁ distributor. an independent contractor whose distributor application has been accepted by Bee'm International. ⦁ Distributorship. Collective rights and obligations arising from the contract. It is also referred to from time to time as the distributor's “account”. ⦁ My BeeInternational must stop selling its products immediately. ⦁ The Right of Deduction. The relevant amendment will be valid in the country where it is required. ⦁ Earnings Plan. The method that a distributor uses to receive Commissions and provide fees for retail sales made at its lower tier and sales volumes obtained. The Earnings Plan is described in the literature of My Bee International. ⦁ Official Bee'm International Literature. Brochures and printed materials, audio or video recordings, websites and other materials developed, printed, published and distributed by Bee'm International to distributors. ⦁ Personal Volume (PV). the product PV obtained by the distributor through sales to its customers and personal product purchases. ⦁ Placement. The position of a distributor on the right or left side of the Sponsor in the network. ⦁ Priority Customer. A customer who is located in Bee'm International's database and can place an order directly to Bee'm International online. For such sales, receivables are recorded to the account of the designated distributor. The Priority Customer is not the distributor. ⦁ products. All kinds of commercial goods sold by Bee'm International and allocated PV. ⦁ Sponsor. A distributor who refers an applicant to My BeeInternational and is named as a Sponsor on the distributor Application. Being a sponsor means introducing a person to My Bee International to become a distributor. ⦁ Starter Kit. A kit consisting of educational materials and business support literature that all new distributors must purchase and sell at the cost of My Bee International.17 17 October A.it was amended at 3. ⦁ Active has the same meaning as in the Financial Reward Plan. October A - AMENDMENTS TO THE POLICIES & PROCEDURES - TURKEY These provisions are valid for the said country and may lead to the amendment of certain provisions of the Policies and Procedures. ⦁ Renewal (Amendment of article 1.3.2 Renewal provision) Renewal of the distributor Agreement is free of charge. the distributor Agreement will be automatically renewed every year, unless terminated by the distributor. ⦁ Independent Contractor. (Article 1.5 Amendment of the Independent Contractor provision) The distributor is an independent contractor and no employer/employee, partnership or joint venture relationship is established by the Contract. distributor has no legal right or authority to act on behalf of Bee'm International, to sign a contract, to place Bee'm International under any obligation or to make any declaration or commitment on behalf of Bee'm International. the distributor is not authorized to assume any debt, obligation or liability on behalf of Bee'm International. As an independent contractor, the distributor is obliged to pay all kinds of social security premiums, income taxes and VAT stipulated by law and to submit relevant declarations and applications, and the distributor acknowledges that he is not subject to any employment protection legislation and will not be treated as an employee under this agreement for tax or legal purposes or in other ways. the distributor agrees to maintain appropriate insurance coverage against all related risks, including general liability. ⦁ Non-Mandatory Purchase of a Starter Kit (amendment of the provisions of articles 2.1.1, 2.1.5 and 10.14) Any reference to the purchase of a Starter Kit is considered deleted. My BeeInternational does not require the purchase of a Starter Kit. ⦁ Company Registration (article 2.4 Amendment and restatement of the provision on Organizations, Partnerships and Trusts) ⦁ 2.4.1 companies as distributors. Unless prohibited by law, only companies established as limited liability companies or joint stock companies may apply for distributorship. Such applicants must complete and submit the Company Information Form with the distributor Agreement and submit a copy of the following documents: i) Trade Registry Gazette; ii) Signature Circular; iii) Certificate of Activity and iv) Tax Plate. ⦁ 2.4.2 Disclosure of Representatives. to ensure compliance with the distributor Agreement, distributors must submit a complete list of all representatives, including members of the company's board of directors, directors and shareholders. Limited liability companies must submit a complete list of all shareholders, directors and directors. Joint Stock Companies must submit a complete list of all shareholders, members of the Board of Directors and holders of limited signature authority. This information can be sent to My Bee International by fax or e-mail and must be updated by the distributor. the distributor must also provide Bee'm International with the requested proof of business or tax number, as well as evidence that the organization continues its activities. If a shareholder, partner, director or member of the board of directors of the distributor is an organization, then the information requested for the above organizations will need to be provided for that shareholder, partner, director or member of the board of directors. ⦁ 2.4.3 Responsibility. Shareholders, partners, employees, agents and, depending on the situation, persons supporting the legal entity agree to be personally responsible to Bee'm International and to be subject to the Contract. ⦁ 2.4.4 Nickname. The completed ”Business Under a Commercial Title" or DBA (Doing Business As – Operating Under a Different Name) form must be submitted to Bee'm International. In any distributor position involving the work of more than one person as a limited liability company or joint stock company, the actions of a participant will be reflected in the entire distributorship. If it is determined that a participant has violated the terms and conditions of the Agreement, it will be considered that the relevant distributorship has committed a violation as a whole. ⦁ No Change of Sponsor (deletion of provisions of articles 2.7.1.2, 2.7.2, 4.6 and 4.7) No change of Sponsor by sale is allowed in Turkey. This means that the transfer of business to third parties will not be allowed. It is also not allowed to add a partner applicant other than a spouse to a distributorship. Therefore, it is accepted that the provisions of articles 2.7.1.2, 2.7.2, 4.6 and 4.7 have been deleted. This prohibition does not affect transfers made in accordance with the provisions of articles 4.1 to 4.4. ⦁ Data Privacy (additional to article 3.5) ⦁ Bee'm International shall transmit any information voluntarily transmitted by such distributor in relation to an identified or identifiable distributor (for example, identification number, name, address, e-mail address, phone number, tax number, bank information, etc.) T numbered 6698.C. The Company uses Personal Data in accordance with the Law on the Protection of Personal Data (“KVKK”) and the decisions of the Protection Board of the Republic of Turkey with its secondary legislation (“Turkish Data Protection Legislation”). Within this scope, Bee'm International collects, stores and processes the data provided exclusively by the distributor in online form. To ensure compliance with the contract, in accordance with the purposes such as billing, in accordance with the provisions of Article 5/2/c of the KVKK, or to the extent necessary for the fulfillment of a legal obligation to which Bee'm International is subject, as expressed in Article 5/2/o of the same law, the distributor's personal data is provided to the shipper, cooperation partner or accountants or disclosed to authorized institutions and organizations, subject to the obligation of confidentiality. These third parties are absolutely obliged to use the distributor's personal data in accordance with Turkish Data Protection Legislation. Each distributor, in relation to its personal data: a) To learn whether personal data has been processed, b) To request information about it if personal data has been processed, c) To learn the purpose of processing personal data and whether they have been used in accordance with the purpose, ç) To know the third parties to whom personal data have been transferred domestically or abroad, d) To request correction of personal data in case of incomplete or incorrect processing, e) To request deletion or destruction of personal data in accordance with the conditions specified in Turkish Data Protection Legislation, f) Requesting notification of the transactions carried out in accordance with paragraphs (d) and (e) here to the third parties to whom the personal data are transferred, g) Objecting to the occurrence of a result against the person himself by analyzing the personal data exclusively through automatic systems, h) In case of damage due to the unlawful processing of personal data,⦁ ⦁ info@beeminternational.com.tr⦁has the right to request compensation of the damage by contacting Bee'm International at the address. any data processing carried out by the distributors or My Bee International must be up-to-date, if necessary, in accordance with the law and the rules of good faith, accurate and for clear and legitimate purposes determined. All data processing activities must be related, limited and proportionate to the purpose of processing the data. All personal data should be stored only for the period specified in the relevant legislation or required by the purpose of data collection.  Pay Paid Service ⦁ For payment purposes, personal data will be forwarded to the relevant payment provider. Paid paid by bank transfer, the scope of the information to be transmitted is determined according to the payment method: ⦁ If the payment is to be made by bank transfer, the account number, the amount of the transfer and the related information are sent to the distributor's bank. the scope of use of personal data through the distributor's bank is determined by the bank's privacy principles. ⦁ If payment is to be paid by credit card, the invoice number, invoice amount, product information and contract language and currency are transferred to the responsible service provider and/or credit card provider. ⦁ In addition to the data protection declaration mentioned above, no personal data transmitted by the distributor to Bee'm International will be provided to third parties without the distributor's written permission, unless it is required by the relevant law or requested by the competent authorities in October in accordance with Turkish Data Protection Legislation.  Paying the Jul-ture of the Contract, including termination and full payment of the agreed fees, the data provided by the distributor, which must be kept for legal reasons, will not be used in any way unless permission is given for another use purpose. ⦁ If the distributor requests additional information about the storage of his personal data or requests the cancellation, blocking or modification of the data belonging to the prospective customer, A.he/she will be able to request support from the e-mail address specified in article 6.1. ⦁ Solutions (amendment of article 3.9.4(iii) and deletion of article 8.2.4) Paragraph (iii) is arranged as follows: “Any of the relevant distributorships may apply for the implementation of legal solutions against and”. Article 8.2.4 is considered deleted. ⦁ Data Privacy of Customers and the Lower Echelon (additional to the provision of article 3.2) ⦁ Obligations of the distributor. Bee'm International and the distributor agree that Bee'm International is the Data Controller and the distributor is also the data processor in terms of Personal Data in accordance with Turkish Data Protection Legislation. In terms of using or accessing the personal data contained in the Annual Reports or maintaining the database of the persons or customers with whom it communicates, the distributor may also be the data controller under Turkish Data Protection Legislation and may be required to notify the relevant authority about data breaches, register with the Data Controllers Registry Information System (“VERBIS”) and process personal data in accordance with the law. the distributor agrees to comply with the terms of the Bee'm International Privacy Policy. The distributor will process Personal Data only in accordance with the instructions that Beeam International will transmit from time to time and will not process Personal Data for any purpose other than the purposes expressly permitted by Beeam International. the distributor will take reasonable steps to ensure that all employees who access Personal Data comply with Turkish Data Protection Legislation. The distributor shall establish policies, procedures or controls to limit the persons who may have access to Personal Data to a minimum number of personnel and, if Beeam International gives written permission, to subcontractor personnel and prevent unauthorized access or unauthorized use of Personal Data. ⦁ Commitments. Each of the parties undertakes to the other party that it will process Personal Data in accordance with all applicable laws, statutes, regulations, orders, standards and other similar documents, especially Turkish Data Protection Legislation. the distributor undertakes the following: ⦁ By taking all relevant technical and organizational measures against unauthorized or unlawful processing of Personal Data, as well as accidental loss, destruction or damage: ⦁ damage that may result from such unauthorized or unlawful processing or accidental loss, destruction or damage, and ⦁ will provide an appropriate level of security in terms of the nature of the data that needs to be protected. ⦁ It will take reasonable steps to ensure compliance with these measures. ⦁ Compensation. Each of the parties agrees to indemnify, hold innocent and defend the other party against any costs, claims for compensation, compensation or expenses incurred or for which the other party may be held responsible for non-compliance with any obligations contained in this Agreement by itself or its employees or agents. Bee'm International agrees that the distributor will rely on Bee'm International's instructions regarding the scope of use and access of Personal Data.
